The terms of this ASCI Addendum – Procurement Process Auditor (this “Procurement Process Auditor Addendum”) shall be incorporated into and form a part of the Agreement between Customer and ASCI to the extent specified by the Order. Capitalized terms not defined herein shall have the meaning set forth in the Master Terms.
A1. The Product
If specified by the applicable Order, ASCI will provide to Customer the Procurement Process Auditor pursuant to the terms and conditions of this Procurement Process Auditor Addendum, including all Markdown, PDF, and Microsoft Excel files; all prompts, templates, scoring rubrics, savings calculator, accompanying Documentation; and any associated Services (setup or results-review calls) defined below.
A2. Tiers
ASCI offers this Product in three Tiers. Customer selects the applicable Tier through the Order at purchase.

Scope
Digital download only. Customer runs the audit independently. Email-only support for installation and Cowork issues.
Digital download plus a single 30–60 minute setup call with an ASCI consultant.
Digital download plus a 30–60 minute setup call and a 60–90 minute results-review call with an ASCI consultant.
A3. Refund Policy
Product sales are final and non-refundable. Tier 1 Products are fully delivered upon ASCI sending the Order Documentation.
The Services provided for Tier 2 and Tier 3 are likewise non-refundable, whether or not Customer schedules or attends the included call(s). Unused calls are not refundable; they are governed by the expiration provision in Section A5.3 below. The Upgrade Credit (as defined below) is available for Tier 1 and Tier 2 purchases.
A4. Upgrade Credit
A4.1. Eligibility
If Customer purchases a Tier 1 Product, Customer may apply 75% of the Tier 1 Fee ($747.75) as a credit toward the purchase of a Tier 2 or Tier 3 Product within 90 calendar days of the original Order date. If Customer purchases a Tier 2 Product, Customer may similarly apply 75% of the Tier 2 price ($1,497.75) as a credit toward the purchase of a Tier 3 Product within 90 calendar days of the original Order date. For purposes of this Procurement Process Auditor Addendum, “Upgrade Credit” shall mean the credits described in this Section A4.1.
A4.2. Conditions
The Upgrade Credit:
(a) applies only to the Customer identified by the email address and organization on the original Order; (b) is non-transferable to any other person, organization, or email domain; (c) expires automatically 90 calendar days after the original Order date; (d) may be used to upgrade a Tier 1 purchase to either Tier 2 or Tier 3, but not both; (e) cannot be redeemed for cash or applied to any other ASCI product or service; and (f) is calculated using, and applied against, the Tier prices in effect on Customer's original Order date; a later change by ASCI to any Tier price does not change the credit amount or the price of the Tier to which the credit is applied.
A5. Calls (Tier 2 and Tier 3)
A5.1. Scheduling
Customer must schedule Tier 2 and Tier 3 calls through the ASCI calendar booking link in the Order Documentation. Calls are conducted by ASCI's Senior Consultant or such other ASCI personnel as ASCI may assign.
A5.2. Rescheduling
Customer may reschedule a call without penalty by giving at least 24 hours' notice through the same booking system. Rescheduling requests with less than 24 hours' notice are accommodated at ASCI's discretion based on calendar availability; if rescheduling is not feasible, the originally scheduled time stands and the call must be used or forfeited.
A5.3. Expiration
Calls expire 180 calendar days after the original Order date. Unused calls expire with no refund and no extension.
A5.4. Recording
ASCI does not record calls. If Customer requests a recording for the Customer's own reference, ASCI may, at its discretion, permit Customer to record the call. In such case, Customer shall be responsible for the recording and for complying with any recording consent and other applicable laws.
A6. License Restrictions Specific to This Product
Pursuant to Section 4.2 of the Master Terms, Customer may not remove, modify, recolor, replace, or relocate the ASCI logo, footer, contact block, color palette or other branding elements that the Product produces on its outputs. Any such action is a material breach of the Agreement. ASCI offers a separate Customizable Edition of the Cowork Project Builder that is licensed for resale and white-labeling. For resale or white-label rights, Customer must contact ASCI at ProcurementAuditKit@asciLLC.com about that separate product. The Procurement Process Auditor is not part of any resale license.
A7. Case Study Program (Elective)
From time to time, ASCI may offer a voluntary case-study program to selected customers. Participation is by invitation and is entirely voluntary; invitation, Customer’s agreement to participate and any associated discount are to be agreed by the parties in writing. If Customer chooses to participate, the following terms apply.
A7.1. Voluntary
Participation is voluntary. Customer may decline with no impact on any purchase or any other ASCI product or service.
A7.2. Customer Approval Required
Any such case study published by ASCI must be reviewed and approved by Customer before publication. Customer may choose anonymous publication (industry, headcount band, headline numbers, no company name) or named publication (company name, logo, optional quotes). Customer may redact specific supplier names or exact dollar figures.
A7.3. Publication Rights
ASCI may use an approved case study across web, social media, sales decks, and ad copy for as long as ASCI sells the Product. Upon a Customer's request that ASCI refrain from using an approved case study, ASCI may agree to remove or limit its use, at ASCI's sole and absolute discretion.
A7.4. Substantiation
All numbers and claims published in any case study must be substantiated by the Customer's own data and approved by Customer in writing. Required disclosure: "Results not typical — your situation will vary."
A9. AI Environment Dependency
The Procurement Process Auditor requires Customer to access and use Customer’s own instance of Claude Cowork.
